Minutes of the 2022 Annual General Meeting
November 22, 2022
The 2022 GHCF AGM was conducted by electronic mail. The following describes how the meeting was conducted.
Gabriola Health Care Foundation 2022 AGM Report
The GHCF 2022 Annual general Meeting was held, primarily, electronically. A brief summary of the meeting follows:
1. An introductory letter (copy below) was sent to members to describe the process and to provide links to the GHCF website where there were links to the various committee reports and instructions on how to nominate additional directors, ask questions, and how to vote.
2. 468 copies of the email instructions were sent electronically to those members that provided GHCF with their email addresses. (The number mailed is less than the number of members as some members share email addresses.) 327 of those emails were opened, some a number of times with 762 total opens. 75 individual members clicked through to the web site with a total of 145 clicks. Nine of the emails bounced, apparently because the address is no longer active or GHCF has been blocked. One member unsubscribed.
3. In addition, hard copies of the letter were mailed to the roughly 20 members that did not provide GHCF with an email address and about another 20 to members to whom emails had previously bounced. As a result, GHCF received about 4 corrections to our email address list.
4. If a member had a question, it was to be submitted to GHCF by November 14. GHCF agreed to distribute the answers to questions of general interest to the members. There were no questions.
5. Members were asked to vote on two questions:
a. To approve the slate of nominated directors, and
b. To adopt the minutes of the 2021 AGM
6. Twenty-six members voted, all in favour of the nominated directors and all but two in favour of adopting the 2021 minutes. Those two abstained because they did not participate in the 2021 AGM.
7. As a result, the following were elected as directors, each for a three-year term to 2025:
a. Don Elkington
b. Carol Fergusson
c. Harvey Graham
d. Marc Herrmann
e. Chris Loranger
f. Donald Sutherland
8. In addition, those directors continuing in their terms are:
a. To 2023
i. Dyan Dunsmoor-Farley
b. To 2024:
i. Diane Cornish
ii. Nancy Rowan
9. The AGM adjourned at 6:00 PM, November 22, 2022.

On November 5 an email message was sent to the members to describe the process. The text of that email was as follows:
Dear Gabriola Health Care Foundation Member,
The Gabriola Health Care Foundation (“GHCF”) has once again chosen to conduct its Annual General Meeting (“AGM”) by e-mail. With over 500 members we think this to be the most appropriate way for us to distribute the relevant information and the easiest way for members to participate.
If you wish to cease being a member of GHCF because you no longer live on Gabriola, or for any other reason, please send us an email at ghcf@ghcf.ca .
Meeting procedures
The AGM will be conducted as follows: first follow this link to the GHCF AGM web page. There you will find links to the President’s Report and the various committee reports. You will also find buttons that will enable you to ask questions and to vote.
Questions
Members are requested to email any questions pertaining to the AGM, or any other GHCF matter, to GHCF at ghcf@ghcf.ca not later than November 14. All questions will be answered. Answers to questions of general interest will be compiled and emailed to all participating members by November 18.
Directors Nominations
The Nominations Committee has nominated the following for election or re-election as directors for terms of three years each:
• Don Elkington
• Carol Fergusson
• Harvey Graham
• Marc Herrmann
• Chris Loranger
• Donald Sutherland
Biographies of the directors are available on the GHCF Web site.
Those directors continuing in their terms are:
• To 2023
o Dyan Dunsmoor-Farley
• To 2024:
o Diane Cornish
o Nancy Rowan
Any member of the Foundation may be nominated for election to the Board of Directors by submitting a nomination in writing, signed by the candidate and at least five other members of the Foundation. Such nominations must be mailed or delivered to the Chair of the Nominations Committee, Dyan Dunsmoor-Farley, 3230 South Road, Gabriola V0R 1X7 or emailed to ghfc@ghfc.ca and be received no later than 4:00 PM November 20, 2022, in either case. In accordance with the GHCF by-laws, nominations other than those presented by the Nominations Committee and those submitted under these provisions are not permitted.

After a combined 22 years on the GHCF Board of Directors Chuck and Mike have decided to not stand for re-election. The Board thanks both of them for years of extremely valuable service to GHCF and we appreciate very much their willingness to let us call on them from time-to-time given their extensive history with the Foundation.
Voting
Members are being asked to approve the minutes of the 2020 AGM and to elect the nominated directors. Voting is easy using the button link on the AGM web page. Members may vote any time from now until 4:00PM on Nov 22, 2021. If two or more members share an email address and so receive only one copy of this message, each member may vote separately. If you vote more than once the last vote cast will be counted. Votes will be tallied after voting closes on the 22nd and the results will be posted in the News section of the GHCF web site home page at https//ghcf.ca by 6:00 PM that day. That will conclude the AGM.
