Gabriola Health Care Foundation (“GHCF”)
Minutes of the 2023 Annual General Meeting
November 23, 2023
The 2023 GHCF AGM was again conducted by electronic mail. The following describes how the meeting was conducted.
1. An introductory email was sent to members to describe the process and to provide links to the GHCF website, links to the various committee reports and to instructions on how to nominate additional directors, ask questions, and how to vote. A link to a copy of the email is below.
2. Copies of the email instructions were sent electronically to those members that provided GHCF with their email addresses. Other members could access the files using Library or other computers.
3. If a member had a question, it was to be submitted to GHCF by November 14. GHCF agreed to distribute the answers to questions of general interest to the members. There were no questions.
4. Members were asked to vote on two questions:
a. To approve the slate of nominated directors, and
b. To adopt the minutes of the 2022 AGM.
5. Thirty-two members voted, all in favour of the nominated directors and all but three in favour of adopting the 2022 minutes. Those three abstained because they did not participate in the 2022 AGM.
6. As a result, the following were elected as directors, each for a three-year term to 2026:
a. Dyan Dunsmoor-Farley
b. Luisa Lazzarotto
c. Jeffrey Malmgren
d. Christina Rajsic
7. In addition, those directors continuing in their terms are:
To 2024 – Diane Cornish
To 2025:
a. Don Elkington
b. Carol Fergusson
c. Harvey Graham
d. Marc Herrmann
8. The AGM adjourned at 4:00 PM, November 23, 2023.
