Gabriola Health Care Foundation (“GHCF”)
Minutes of the 2024 Annual General Meeting
December 9, 2024
The 2024 GHCF AGM was conducted by electronic mail. The following describes how the meeting was conducted.
1. A notice of the meeting was published in the Gabriola Sounder, November 20 edition.
2. An introductory email was sent to members to describe the process and to provide links to the GHCF website, links to the various committee reports and to instructions on how to nominate additional directors, ask questions, and how to vote. A link to a copy of the email is below.
3. Copies of the email instructions were sent electronically to those members that provided GHCF with their email addresses. Other members could access the files using Library or other computers.
4. If a member had a question, it was to be submitted to GHCF by December 1. GHCF agreed to distribute the answers to questions of general interest to the members. There were no questions.
5. Members were asked to vote on three questions:
a. To approve the slate of nominated directors,
b. To approve the borrowing resolution, and
c. To adopt the minutes of the 2023 AGM.
6. Thirty-two members voted, all in favour of the nominated directors and the borrowing resolution all but three in favour of adopting the 2023 minutes. Those that abstained did so because they had not participated in the 2023 AGM.
6. As a result, the following were elected as directors, each for a three-year term to 2027:
a. Kevin Crowley,
b. Jennifer Hewson, and
c. Julie Stewart.
7. In addition, those directors continuing in their terms are:
To 2025:
a. Don Elkington
b. Carol Fergusson
c. Harvey Graham
d. Marc Herrmann
To 2026:
a. Dyan Dunsmoor-Farley
b. Jeffrey Malmgren
c. Christina Rajsic
8. The AGM adjourned at 4:00 PM, December 9, 2024.
